Welcome to the Core Performance Centers, LLC, a Delaware entity (“CPC”) Website (the “Website”), a website available via the Internet to the general public. This Website provides, among other information and data, access to CPC’s training, fitness and nutrition content. The Website and its contents and related services are owned by CPC and/or its affiliates and licensors.

By accessing and/or using the Website, or otherwise availing Yourself of the services and information offered through the Website, You – the “User” – agree to be bound by this Terms of Use and Acceptable Use Policy (hereinafter “AUP”) in effect at the time of each such access or other use of the Website. This AUP applies to all users of this Website, regardless of whether they are members or merely visitors, and applies to any and all entities or persons on whose behalf any User acts.

You acknowledge that CPC may, from time to time, and in its sole discretion and without notification to You, modify this AUP. CPC is the provider of access to a Website containing customized sports and conditioning training and nutrition advice in addition to details related to our various product offerings. CPC has created the Website to provide Users with online access to this information. The features and information that a User may avail himself/herself of via the Website are collectively referred to as the “Services.”

II. TERMS AND CONDITIONS

A. User to Provide Internet Access

In order to access the Website and/or use the Services, You must obtain access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, You must provide all equipment necessary to make such connection to the World Wide Web.

B. Website Intended for Adults

Unless you have express permission from your parent(s) and/or guardian, you must be 18 years old or older to access, purchase from, or otherwise use any Services via the Website. No one under 13 years old is permitted to use or access the Website.

C. Availability

CPC makes no guarantees regarding the availability of the Website or the Services (including the availability of any given Service). CPC reserves the right, in its sole discretion, to discontinue the Website or Services and/or modify the contents of the Website or the terms of the Services as it sees fit, including but not limited to, the price for Services, descriptions, and other e-commerce related information and/or functionality. You agree that CPC will not be liable to You for any such discontinuance or modification of the Website or the Services.

D. Authorized Use

CPC grants You a limited license to access and make personal use of the Website for purposes and uses that are legal and that are otherwise permitted by this AUP. Other than page caching and/or podcasts, You are not authorized to download or modify the Website or any portion of it, except with express, prior written consent of CPC. This license does not include and specifically prohibits any resale or commercial use of this site or its contents (except for Your purchase of goods and/or Services); any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another person or merchant; or any use of data mining, robots, or similar data gathering and extraction tools. K. Severability

In the event that one or more of the words, phrases, sentences, clauses, sections, subdivisions or subparagraphs contained herein shall be held invalid, this Agreement shall be construed as if such invalid portion had not been inserted. In the event that any invalid language is severed under this paragraph, the severed language shall be comprised of the smallest unit possible such that the severance of the unit results in a valid provision (e.g., a single item in a list will be severed rather than the entire list, a clause will be severed rather than the entire sentence, etc.).

L. Entire Agreement

This Agreement sets forth and contains the entire agreement with regard to the matters set forth herein between You and CPC. There are no promises, terms, conditions, or obligations other than those contained herein. This Agreement supersedes all previous communications, representations, or agreements, either verbal or written, between and among the parties with respect to the subject matter hereof (CPC Website access and use).

M. Choice Of Law

This Agreement, and any disputes arising from, relating to, or touching upon the Agreement and/or the subject-matter hereof, shall be construed under and governed by the law of the State of New York. All contracts resulting from or relating to this Website, including Member Agreements, as well as all information and advice provided herein, shall be deemed to been formed, entered into, executed, and/or given/communicated in the State of Massachusetts.

N. Venue; Personal Jurisdiction; Service of Process

Any action at law, suit in equity, or other judicial proceeding concerning, relating to, or touching upon in any way this Agreement or the subject-matter hereof, shall be brought or commenced, if at all, only in the courts of Massachusetts. By accessing and using the Website, You (and any person or entity on whose behalf you act) hereby submit to personal jurisdiction in Massachusetts in any action by or against You and waive and release now and forever any defense to that assertion of jurisdiction that might otherwise exist. You (and any person or entity on whose behalf you act) agree to service of process for any claim arising out of or related to this AUP via a national private carrier (e.g., FedEx, UPS), and hereby waive personal service.

P. Waiver

i. CPC uses commercially reasonable protections to safeguard Your Personal Information. To access some of the content, information, and services at the Website, You may be required to register by providing certain information and creating a user name and password to access (or log in). You are responsible for maintaining the confidentiality of Your user name and password. You shall be responsible for all uses of Your user name(s) and password(s). Any and all information posted or contributed to any element of the Website may be used by CPC in any manner, and the act of contributing information or other content constitutes a perpetual, royalty free, worldwide license for CPC (and its affiliates and successors) to use, reproduce, distribute, perform, display and make derivative works from such information and content. CORE PERFORMANCE CENTER SANTA MONICA (“CPCSM”) POLICIES:

As August 1, 2008

The policies of CPC Santa Monica, LLC, a Delaware limited liability company (“CPCSM”) are part of our agreement with you pertaining to your use of the CPCSM facilities and equipment and your participation in any CPCSM activities or programs, including personal fitness sessions (each a “Session” and collectively with all other offered activities and programs, the “Services”). CPCSM may change these policies (“CPCSM Policies”) from time to time as CPCSM sees fit in its discretion. You should periodically review the CPCSM Policies online at www.coreperformancecenter.com or in the CPCSM Membership Office to assess any changes in the CPCSM Policies. Failure to abide by these policies may result in the loss of your membership and privileges to receive the Services and may result in the loss of fees already paid. CPCSM may use its discretion to enforce these policies and need not enforce them in the same manner for each situation.

Fees

As described in your Membership Agreement, you will need to pay for Services in advance. All Services, other than Sessions, and all merchandise, may be purchased with cash or your credit card at the time of purchase.

Reservations & Cancellations

Reservations are required for each Session so that we can ensure that all necessary equipment is available and ready for each Session. Our reservation system means that everything you need for your Session will be available and ready at your reserved time so that you can complete your Session in 60 minutes. It also means that you only have 60 minutes to complete your Session so that we can prepare the equipment for the next Member who has reserved it. As a result, if you reserve a Session and you show up late or fail to show up at all, you may not be able to complete your Session and you will not receive a refund of your Session fee. You may cancel a Session without charge if we have notice of your cancellation at least 24 hours prior to your scheduled Session so that another Member can take advantage of the open Session time.

What is Membership

Membership allows you access to the CPCSM facilities and allows you to utilize CPCSM Services. Membership levels and fees are described in your Membership Agreement. If you have any questions about the term of your Membership or about renewing your Membership please see someone in the CPCSM Membership Office for assistance.

Returned Check Fee

We reserve the right not to accept personal checks as payment for Services. If we do accept a personal check for any Services, you will be charged $25 for any check returned due to insufficient funds.

Refusal of Service

CPCSM may refuse Services to anyone at anytime. If Services are refused, you will receive a refund of the amount of such Services only if the refusal is without cause or your Membership Agreement is terminated without Cause, as defined in your Membership Agreement.

Hours of Operation

CPCSM's hours of operation will be at least [5:00 a.m. through 10:00 p.m. Monday through Friday and ____ through ____ on Saturdays, except for holidays and inclement weather. CPCSM may change its hours of operation as it determines necessary in its discretion.

Safe Use of Equipment

All members will receive instruction from a performance coach prior to using the exercise equipment for the first time. In addition, instructions for use may be posted on or near each type of equipment. All equipment must be used in accordance with the performance coach's instructions and the written instructions on or near the equipment. FAILURE TO USE THE EQUIPMENT AS INSTRUCTED MAY RESULT IN INJURY TO YOURSELF OR OTHERS. If you see any unsafe use of the equipment, please inform us immediately. Do not use equipment until you have reviewed and understood the instructions related to the equipment. Ask a performance coach for help if you do not understand the instructions.

Personal Belongings & Theft

CPCSM provides lockers for storage of personal belongings. Please note, however, that CPCSM is not responsible for your personal belongings. Although CPCSM tries to maintain a safe environment, theft is a reality of life. CPCSM is not responsible for any theft of your personal belongings in its facilities, in the parking lot or otherwise while you utilize our facilities.

Dress Code

All Members shall dress appropriately as determined by CPCSM to maintain an appropriate, comfortable, environment for all. For men and women, appropriate dress means workout apparel similar to that included in the member welcome kit. Please consult CPCSM personnel if you have questions about appropriate dress.

Observations

At times, CPCSM employees, visitors and guests may be on-site and observing training sessions. We conduct these observations for various reasons including for the benefit of trainees. We will do our best not to have our observations interfere in any way with your Sessions

Video Surveillance

To ensure the security and safety of its facilities and personnel, portions of CPCSM facilities are monitored by a video surveillance system. Please note that this system is in use and that you hereby consent to such surveillance.

Contagious Conditions

If you have a contagious sickness or condition, please do not use the facility. If this condition or sickness will prevent you from using your bank balance, discuss the situation with a manager and we will try to find an agreeable resolution to the situation.

Nutritionist Services

CPCSM may have a Nutritionist available with whom you can consult as a benefit of your membership. Please note the following disclosure required by law pertaining to nutritionist services: State law allows any person to provide nutritional advice or give advice concerning proper nutrition--which is the giving of advice as to the role of food and food ingredients, including dietary supplements. This state law does NOT confer authority to practice medicine or to undertake the diagnosis, prevention, treatment, or cure of any disease, pain, deformity, injury, or physical or mental condition and specifically does not authorize any person other than one who is a licensed health practitioner to state that any product might cure any disease, disorder, or condition.
